• PrivateBancorp Inc (NASDAQ: PVTB) rose 24.6 percent to $44.77 in pre-market trading after Canadian Imperial Bank of Commerce (USA) (NYSE: CM) revealed it struck a definitive agreement to buy PrivateBancorp and its subsidiary, The PrivateBank, for $47.00 a share.
• Biopharmx Corp (NYSE: BPMX) rose 22.03 percent to $0.720 in pre-market trading after the company reported positive Phase 2a clinical trial results.
• Diamond Resorts International Inc (NYSE: DRII) rose 16.33 percent to $28.00 in pre-market trading. Apollo Global Management LLC (NYSE: APO) is nearing a deal to acquire Diamond Resorts, Dow Jones reported.
• Clovis Oncology Inc (NASDAQ: CLVS) shares rose 7.49 percent to $13.28 in pre-market trading after gaining 6.78 percent on Tuesday.
• Shire PLC (ADR) (NASDAQ: SHPG) shares rose 3.4 percent to $176.82 in pre-market trading after the company reported that SHP465 met primary and secondary endpoints at both 12.5mg and 37.5mg doses.
• Silver Standard Resources Inc. (USA) (NASDAQ: SSRI) shares rose 3.28 percent to $12.60 in pre-market trading. Silver futures gained 2.52 percent to $18.34 an ounce.

Losers

• Galena Biopharma Inc (NASDAQ: GALE) shares fell 81.78 percent to $0.37 in pre-market trading after the company reported the discontinuation of Phase 3 PRESENT clinical trial due to futility of study.
• Lipocine Inc (NASDAQ: LPCN) shares dipped 48.96 percent to $3.20 in pre-market trading following announcement of a Complete Response Letter from the FDA. The response letter noted deficiencies in dosing algorithm on label.
• Esperion Therapeutics Inc (NASDAQ: ESPR) shares tumbled 34.43 percent to $10.61 in the pre-market trading session after failing to reach an agreement with the FDA regarding a definitive approval path for its ETC-1002, a cholesterol-lowering pill. JP Morgan downgraded Esperion Therapeutics from Overweight to Neutral and lowered the price target from $50.00 to $15.00, while Credit Suisse also downgraded the stock from Neutral to Underperform and lowered the price target from $23.00 to $10.00.
• Eclipse Resources Corp (NYSE: ECR) shares fell 12.90 percent to $3.58 in pre-market trading. Eclipse Resources reported an offering of 37.5 million shares of common stock. The company also raised its production guidance to 205-210 MMcfe per day for 2016.
• Healthcare Realty Trust Inc (NYSE: HR) shares fell 3.43 percent to $33.74. Healthcare Realty Trust priced its 8 million share offering for gross proceeds of $268 million.
• Southwestern Energy Company (NYSE: SWN) shares fell 3.2 percent to $13.45 in pre-market trading. Southwestern Energy reported a 75 million share offering to replay part of loan.
