NFP Announces Stock Grant to Anne Long

National Financial Partners Corp. (NYSE: NFP), a leading provider of benefits, insurance and wealth management services, announced today that it has granted 12,484 restricted stock units (“RSUs”) to Anne Long, who the company previously announced was appointed as president of NFP Life and a member of the Advisory Board of PartnersFinancial. NFP granted the RSUs under the New York Stock Exchange’s employment inducement exemption from the shareholder approval requirements generally applicable to equity compensation plans. The exemption requires that the company issue a press release announcing the grant and its material terms.

The RSUs were granted on October 1, 2012 and will vest over a three year period, with one-third vesting on each anniversary of the grant date. The RSUs are subject to accelerated vesting upon certain change in control events, and, with certain exceptions, are subject to forfeiture in the event of termination of employment.
