The following are the M&A deals, rumors and chatter circulating on Wall Street for Tuesday November 27, 2012:

Hearing Dow Chemical Wants to Acquire Small Seed Companies

The Rumor:
Shares of Origin Agritech (NASDAQ: SEED) spiked higher Tuesday, following reports that a Dow Chemical (NYSE: DOW) executive said the company was interested in acquiring small Seed Companies.

Origin Agritech was apparently not mentioned specifically.

Origin Agritech closed at $1.54 Tuesday, a gain of almost 7% on 16 times average volume.

ConAgra to Acquire Ralcorp for $90/Share in Cash

The Deal:
ConAgra Foods (NYSE: CAG) and Ralcorp Holdings (NYSE: RAH) announced Tuesday that the boards of directors of both companies have unanimously approved a definitive agreement under which ConAgra Foods will acquire Ralcorp, the largest manufacturer of private label food in the U.S. Under the terms of the agreement, Ralcorp shareholders will receive $90.00 per share in cash for each outstanding share of common stock held, representing a 28.2% premium to the closing price of Ralcorp’s common stock on November 26, 2012, and a 24.9% premium to the average closing price of Ralcorp’s common stock for the 30 trading days ending November 26, 2012. The transaction is valued at approximately $6.8 billion, including the assumption of debt.

The transaction is expected to close by March 31, 2013.

Ralcorp closed at $88.80 Tuesday, a gain of 26% on 118 times average volume.

KEYW Acquires Rsignia

The Deal:
KEYW Corporation (NASDAQ: KEYW) announced Tuesday that it has acquired Rsignia, a privately held provider of advanced cyber security solutions to industry and government customers, in an asset purchase. This strategic acquisition is closely related to Project G, KEYW’s Cyber Awareness and Response platform, providing KEYW with a highly affordable and scalable solution for applications including monitoring and mitigating malicious internet packet activity, network monitoring and analysis, and forensics analysis. This transaction was completed on November 26, 2012.

KEYW Corporation closed at $13.10 Tuesday, a gain of $0.06 on average volume.
